- Corporate LawLike most corporate law, mergers are regulated at the state level. While these laws vary by jurisdiction, many aspects of the merger process are the same across the nation. Generally, the board of directors for each entity must initially approve a resolution adopting a plan of merger that specifies the names of the entities involved, the name of the proposed merged company, the manner of converting shares of both entities, and any other legal provisions to which the corporations agree. Each entity notifies all of its shareholders that a meeting will be held to approve the merger. If the proper number of shareholders approves the plan, the directors sign the papers and file them with the state. The secretary of state issues a certificate of merger to authorize the new corporation.

He went on to attend Cornell University and Georgetown University Law Center and was admitted to the New York State Bar in 1980. He worked as an associate and later a partner at Driscoll, Mulholland & Delaney where he focused on the firm's Trust and Estates practice. In 1990, Mr. Comerford became a partner in Kennedy & Comerford, a Garden City-based firm that represented King Kullen and other Long Island-based businesses.

He is also currently the President of the Brooklyn Prep Alumni Association, which operates the John D. Alexander Scholarship Fund that has distributed in excess of $4,000,000 in high school scholarships to cover 500 local area students. He is a member of the Cardinal's Committee for Charity of the Catholic Charities of the Archdiocese of New York, which is a membership of civic, corporate and philanthropic leasers from the New York metropolitan area who support Catholic Charities. Finally, Mike serves on the Board of Trustees of Molloy College.
- Power of AttorneyThere are generally two types of durable powers of attorney: a present durable power of attorney in which the power is immediately transferred to your agent (also known as your attorney in fact); and a springing or future durable power of attorney that only comes into effect upon your subsequent disability as determined by your doctor.
